Mainland vs Free Zone — The Process Is Not the Same

Mainland trade licenses issued by DED require a valid Ejari, signatures from all shareholders, and payment of government renewal fees. Free zone renewals are managed through each free zone's own portal and often require additional documentation including audited financial statements and establishment card renewal. The requirements differ significantly between free zones. What DMCC requires is not what SHAMS requires, and treating them as the same process is a common cause of delays.

What Happens When a License Expires

An expired license creates a cascade of operational problems. Banks may freeze accounts or decline transactions. Visa renewals for employees become blocked because MOHRE requires an active company license. The monthly fine starts at AED 250 and increases over time. Remote Shareholders and How to Handle Them

When a shareholder is abroad, the standard solution is a notarised and attested Power of Attorney authorising a local representative to sign on their behalf. The PoA must be prepared, notarised in the country of signing, and attested at the UAE embassy before it is valid for use. Starting six to eight weeks before renewal avoids the situation where a license lapses because a PoA was not ready in time.
