When VAT Registration Actually Becomes Mandatory in the UAE

The threshold is not measured by calendar year, and the clock to apply is 30 days. Both details cost companies AED 10,000 and a backdated tax bill more often than any genuine dispute about what VAT is owed.

The two thresholds

VAT in the UAE is 5%, and the number almost nobody gets wrong. The thresholds and the timing are where the money is lost.

Mandatory registration: AED 375,000 in taxable supplies over a rolling 12-month period.

Voluntary registration: AED 187,500 over the same basis.

"Rolling" is the word that matters

The threshold is not your calendar year and not your financial year. It is any consecutive 12 months. A company that bills AED 140,000 in each of three quarters has crossed the mandatory threshold partway through the fourth — not on 31 December.

This is also forward-looking. If you can reasonably expect to exceed AED 375,000 in the next 30 days — a signed contract is usually enough to make that expectation reasonable — the obligation starts then, not when the money arrives.

What counts toward it

Included: standard-rated supplies, zero-rated supplies, and imported goods subject to VAT.

Excluded: exempt supplies, and one-off disposals of capital assets. Selling a company car does not push you over the line.

Note that zero-rated supplies count. An exporter billing entirely outside the UAE at 0% can be required to register despite charging no VAT to anyone — and will then be able to recover input VAT, which is usually to their advantage.

The 30-day clock, and what missing it costs

Once you cross the mandatory threshold you have 30 days to apply through EmaraTax.

Missing it carries two costs, and the second is larger than the first.

AED 10,000 administrative penalty for late registration.

Backdated VAT liability on everything you supplied since the day you crossed the threshold. The FTA's position is that the tax was due from that date. Your customers were not charged it, most of them will not agree to be invoiced for it months later, and the difference comes out of your margin.

A company that crosses the threshold in March and registers in September is not facing a AED 10,000 problem. It is facing six months of unrecovered output tax.

Voluntary registration is a real decision, not a formality

Below AED 375,000 but above AED 187,500, registration is optional. It is worth taking when:

  • Your customers are VAT-registered businesses, who recover the VAT you charge and are indifferent to it
  • You have meaningful input VAT to reclaim — office rent, equipment, professional fees
  • You are about to cross the mandatory threshold anyway and would rather control the timing

It is worth avoiding when your customers are consumers, who cannot recover anything and simply experience your prices rising 5%.

The penalty is the small part

After registration

Most businesses file quarterly through EmaraTax, reporting output VAT charged and input VAT recovered. Returns and payment are due within 28 days of the period end.

Three operational points that cause more trouble than the filing itself:

Tax invoices have required contents. An invoice missing the TRN, the tax amount, or the correct wording is not a valid tax invoice, and your customer cannot recover against it. Fix the template once, at the start.

Input VAT needs the paperwork. You recover against valid tax invoices held, not against bank statements. Expenses paid personally and reimbursed are a common gap.

Some input VAT is blocked — entertainment, and most motor vehicles available for personal use. Claiming it back is a straightforward way to attract attention.

The honest summary

  1. AED 375,000 mandatory, AED 187,500 voluntary, both on a rolling 12 months.
  2. 30 days to apply from crossing the threshold, through EmaraTax.
  3. The backdated liability, not the AED 10,000, is the real cost of registering late.
  4. Zero-rated exports count toward the threshold and usually make registration advantageous rather than painful.
